1. Agreement to these Terms
By accessing or using JetPas, creating an account, or accepting an invitation to an estate workspace, you agree to these Terms & Conditions and our Privacy Policy. If you use JetPas on behalf of an estate, company, or other organization, you represent that you have authority to bind that organization.
If you do not agree, do not access or use the Services.
2. The Services
JetPas provides software for estate access coordination and operations, including account management, resident and visitor records, QR or pass workflows, gate logs, maintenance requests, billing information, notifications, dashboards, and related tools.
Features may vary by plan, estate configuration, user role, region, and release. We may modify, suspend, or discontinue features as reasonably necessary to operate and improve the Services.
3. Accounts and access
- You must provide accurate, current, and complete information and keep it updated.
- You are responsible for protecting your password, device, QR codes, passes, and other credentials.
- You must promptly notify JetPas or your estate administrator of unauthorized use or suspected compromise.
- Accounts and roles may be created, approved, changed, or disabled by an authorized estate administrator.
- You may not share credentials, impersonate another person, or bypass role-based access controls.
4. Estate administrators and customer responsibilities
Estate administrators are responsible for selecting authorized users, configuring permissions, maintaining accurate estate records, communicating applicable estate rules, and handling their own legal obligations to residents, visitors, staff, and vendors.
Administrators must ensure that information submitted to JetPas is collected and used lawfully and that visitors and residents receive any notices required by applicable law.
5. Acceptable use
You may use JetPas only for lawful estate, property, access, security, and operational purposes. You must not:
- use the Services to harass, threaten, discriminate against, or unlawfully surveil another person;
- submit false, misleading, unlawful, or infringing information;
- create unauthorized passes, manipulate gate records, or attempt to defeat security controls;
- reverse engineer, scrape, copy, resell, or interfere with the Services;
- introduce malware, overload infrastructure, or access another account or estate without authorization; or
- use JetPas for emergency response, life-safety dispatch, or any purpose where platform delay or failure could cause injury or loss.
6. Subscriptions, plans, and payment
Some JetPas features require a paid plan. Applicable fees, billing frequency, usage limits, taxes, renewal terms, and plan features will be shown at purchase or in an order form.
Unless otherwise stated, subscriptions renew for the same period until canceled. You authorize the applicable payment provider to charge approved payment methods for fees due. Fees are generally non-refundable except where required by law or expressly agreed in writing.
We may suspend paid features for overdue or disputed amounts after reasonable notice. Plan changes may affect features, limits, and pricing.
7. Ownership and feedback
JetPas and its software, interfaces, branding, documentation, and underlying technology are owned by JetPas, Inc. or its licensors and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your authorized access. You retain rights in information you submit, while granting us the limited rights needed to host, process, secure, and provide the Services.
If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation, provided we do not identify you publicly without permission.
8. Privacy and data processing
Our collection and use of personal information is described in the Privacy Policy. Estate administrators may act as controllers or responsible organizations for information they submit, while JetPas may process that information to provide the Services.
You must not submit sensitive information unless the Services and your agreement with JetPas expressly support it and you have a lawful basis to do so.
9. Third-party services and links
The Services may connect to or rely on third-party services such as hosting, authentication, messaging, analytics, and payment providers. Third-party services are governed by their own terms and policies, and JetPas is not responsible for their independent acts or availability.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. JetPas does not guarantee that the Services will be uninterrupted, error-free, completely secure, or suitable for every estate workflow.
JetPas is an operational coordination tool, not a replacement for trained security personnel, physical access controls, emergency services, legal advice, or an estate’s own policies and procedures. You remain responsible for making independent safety and access decisions.
11. Limitation of liability
To the maximum extent permitted by law, JetPas, Inc. and its affiliates, officers, employees, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption arising from or related to the Services.
To the maximum extent permitted by law, our total liability for claims arising from the Services will not exceed the fees paid by you or your organization to JetPas for the Services during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
12. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JetPas, Inc. and its affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Services, violation of these Terms, violation of another person’s rights, or information you submit unlawfully.
13. Suspension and termination
You may stop using the Services at any time. We or your estate administrator may suspend or terminate access if you violate these Terms, create a security risk, fail to pay applicable fees, or where necessary to comply with law or protect the Services.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, indemnity, and dispute terms, will survive.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. The courts located in Lagos, Nigeria will have exclusive jurisdiction, unless applicable law requires another forum or the parties agree to an alternative dispute process.
15. General terms
- These Terms and incorporated policies are the entire agreement regarding the Services, subject to any signed order form or customer agreement.
- If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective.
- We may assign these Terms in connection with a merger, reorganization, or sale of assets. You may not assign them without our prior written consent.
- Our failure to enforce a provision is not a waiver of our right to enforce it later.
16. Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will post the revised Terms and update the “Last updated” date. Continued use after the effective date means you accept the updated Terms, except where applicable law requires additional consent.
